Terms of Service
Last updated June 5, 2026
THIS IS A LEGAL AGREEMENT BETWEEN YOU, OR THE ENTITY YOU REPRESENT (“YOU”, “YOUR”, OR “CUSTOMER”), AND THE VIGGOVET GROUP ENTITY RESPONSIBLE FOR YOUR REGION (“VIGGOVET”, “WE”, “US”, OR “OUR”), GOVERNING YOUR ACCESS TO AND USE OF THE VIGGOVET PLATFORM, MODULES, AND RELATED SERVICES.
The specific entity that contracts with you is identified in our Legal Entities document (the “Entities Document”), which is incorporated into this Agreement. By accessing or using the Services, you agree to this Agreement. If you do not agree, do not access or use the Services.
The Services are intended for professional, occupational, and institutional use by veterinary professionals, practices, students, researchers, and universities. They are not a general-consumer product. Our separate pet-owner client application, used by pet owners to communicate with and book services from their clinic, is governed by its own Pet Owner App Terms, not by this Agreement.
1. Definitions
- “Services” means the viggoVet base platform, our own clinical and AI modules, websites, mobile and web applications, APIs, SDK, and MCP interfaces, and related support, in each case provided by viggoVet.
- “Module” means a feature set or application that runs on the platform. “Third-Party Module” means a Module built by an independent developer using our SDK, API, or MCP, and made available (free or paid) through the platform or marketplace.
- “Service Data” means data you or your users submit to, store in, or generate through the Services about your patients, clients (pet owners), staff, and operations. Service Data is owned and controlled by you.
- “Service-Specific Terms” means additional terms applicable to a particular Service or Module. “DPA” means our Data Processing Addendum.
- “Account Types” means the subscription tiers described in Section 6, including Business accounts, Individual/Professional workspaces, and Academic/Research accounts. “Pet Owner App” means our separate pet-owner client application, governed by the Pet Owner App Terms and not by this Agreement.
2. Structure of this Agreement
This Agreement consists of these general terms, any Service-Specific Terms, the Entities Document, our Privacy Policy, Cookie Policy, and, where applicable, the DPA. If there is a conflict, the order of precedence is: (1) a signed order or DPA; (2) Service-Specific Terms for the relevant Service; (3) these general terms; (4) the Privacy Policy and Cookie Policy.
3. Eligibility and Acceptance
You must be at least 18 years old and have the legal capacity to enter into a binding contract. If you accept this Agreement on behalf of an organisation, you represent that you are authorised to bind that organisation, and “you” refers to that organisation. You accept this Agreement by clicking to accept, by signing an order, or by accessing or using the Services.
4. Description of the Services
viggoVet is a modular veterinary platform. On top of a base platform we provide our own clinical and AI Modules, and we offer an open SDK, API, and MCP interface so that independent developers can build and distribute their own Modules to you, free or for purchase. You may use the Services for your own professional, occupational, or institutional purposes within the limits of your Account Type and subscription. You are responsible for obtaining and maintaining the internet access, devices, and software needed to use the Services.
5. Account Types and Eligible Users
The Services are offered under several Account Types. Features available to each depend on its tier and subscription:
- Business accounts: for clinics, hospitals, and corporate groups operating as organisations.
- Individual / Professional workspaces: self-serve accounts for an individual veterinary professional, who may invite colleagues into a shared workspace. This lower tier provides most, but not all, Business features. The individual account holder is responsible for the users they invite and for all activity in their workspace, and acts as the controller of the data in it.
- Academic and Research accounts: for universities, faculty, students, and researchers using the Services for teaching, study, or research. Such use must be lawful, must not involve live clinical decision-making outside appropriate supervision, and may be subject to additional Service-Specific Terms.
Professional use; consumers. By using the Services you represent that you are acting for purposes relating to your trade, profession, study, or institution, and not as a consumer. If, despite this, mandatory consumer-protection law applies to you, nothing in this Agreement removes rights you cannot waive under that law, and the clauses on governing law, arbitration, class-action waiver, and forum apply only to the extent that law permits. Pet owners using the Pet Owner App are consumers and are covered by the separate Pet Owner App Terms.
6. Clinical and AI Disclaimer (Important)
THE SERVICES, INCLUDING ANY ARTIFICIAL-INTELLIGENCE OUTPUTS, ARE DECISION-SUPPORT AND PRODUCTIVITY TOOLS FOR LICENSED VETERINARY PROFESSIONALS. THEY ARE NOT VETERINARY, MEDICAL, DIAGNOSTIC, OR PHARMACOLOGICAL ADVICE, ARE NOT A MEDICAL OR DIAGNOSTIC DEVICE, AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL JUDGEMENT.
You acknowledge and agree that:
- the licensed professional using the Services is solely responsible for all clinical and professional decisions, including diagnosis, treatment, prescribing, dosing, surgery, and patient care;
- AI and automated outputs may be incomplete, inaccurate, or unsuitable for a given case, and you must independently verify any output before relying on it;
- you are solely responsible for compliance with all laws, regulations, and professional standards governing veterinary practice, controlled substances, medicines, and animal welfare in your jurisdiction;
- real-time and monitoring-style features (including any anaesthesia or patient-status indicators that output values such as “stable”, “unstable”, or “risk”) are indicative aids only, are not medical monitoring or alarm devices, may be delayed, incomplete, or incorrect, and must never be relied on in place of continuous monitoring by qualified personnel using validated equipment;
- the Services are not designed for use as the sole system in life-critical or emergency situations, and you must maintain appropriate professional and backup procedures; and
- viggoVet does not practise veterinary medicine, does not supervise your practice, and is not responsible for outcomes arising from clinical or professional decisions made using the Services.
The AI and clinical features (including clinical documentation such as SOAP notes, clinical and financial reports and analytics, real-time patient-status and anaesthesia aids, evidence-based information and chat, and the drug formulary and dosing tools) are further governed by the AI & Clinical Decision-Support Disclaimer, which forms part of this Agreement.
7. Account Registration and Security
You must register with accurate, current, and complete information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at the support centre at viggo.vet/support of any unauthorised access. If your registration information is false, outdated, or misleading, we may suspend or terminate your account. viggoVet is not liable for loss arising from unauthorised use of your account where we have met our own security obligations.
8. Organisation Accounts and Administrators
If you create an account for an organisation, you may appoint one or more administrators to configure the Services and manage user access. If a third party sets up the account on your behalf, that party may hold administrator rights unless you restrict them, and you are responsible for your arrangement with that party. You are responsible for (i) keeping account credentials secure, (ii) appointing competent administrators, and (iii) ensuring all activity in your account complies with this Agreement. viggoVet is not responsible for the internal administration or governance of your account. If administrator access is lost and you have not defined a recovery procedure, we may, acting in good faith and on valid proof of authorisation, grant access to an authorised individual, and we are not liable for good-faith decisions of this kind.
9. Acceptable Use and Restrictions
You agree not to, and not to permit any user to:
- resell, sublicense, lease, or share the Services with unauthorised third parties, or provide a service based on the Services without our written consent;
- share user licences between individuals, except by permitted reassignment;
- disassemble, reverse engineer, decompile, or attempt to derive source code, except to the extent applicable law expressly permits;
- copy, modify, or create derivative works of the Services except as expressly allowed (use of our SDK, API, and MCP is governed by the developer terms below);
- attempt unauthorised access to our systems or data, or probe, scan, or test the vulnerability of the Services without authorisation;
- interfere with or disrupt the integrity or performance of the Services, or overload or degrade the infrastructure;
- introduce malicious code, scripts, or exploits;
- use the Services to send spam, unsolicited messages, chain letters, phishing, or to distribute malware;
- upload or share data you do not have the right to share, or others’ private or sensitive information without authorisation;
- distribute false, defamatory, abusive, obscene, infringing, or unlawful content;
- impersonate others or misrepresent your affiliation;
- use the Services for competitive analysis, benchmarking, or to build a competing product;
- remove or obscure proprietary or copyright notices; or
- violate any applicable law or regulation.
10. Your Data, Ownership, and Privacy
You retain all ownership of your Service Data. You grant viggoVet a limited, non-exclusive licence to host, copy, transmit, process, and display Service Data solely to provide, secure, and support the Services and as you instruct. Our handling of personal data is governed by the Privacy Policy and, for business customers, the DPA.
We do not use your Service Data for marketing or advertising, we do not sell or share it, and we never use it to train artificial-intelligence models. The only internal use we make of data for analysis is of anonymised and aggregated data, including technical and operational analytics such as feature usage, system load, storage size, latency, and error rates, used to operate, secure, and improve the Services. This is the carve-out referenced in the Privacy Policy and does not permit any use of identifiable Service Data for our own purposes.
11. Third-Party Modules, Developers, and the Marketplace
The platform lets independent developers offer Third-Party Modules through our SDK, API, MCP, and marketplace. The following terms apply and are important to your responsibilities and to the allocation of risk:
- You choose what to enable. A Third-Party Module can access your Service Data only if you install, enable, or purchase it.
- You authorise and are responsible for data sharing. By enabling or purchasing a Third-Party Module, you instruct us to share the Service Data the Module requires with the developer, and you are responsible for that sharing, including having a lawful basis and any necessary consents.
- The developer is independent. Each developer is a separate company. Your use of a Third-Party Module is governed by the developer’s own terms and privacy policy, agreed directly between you and the developer. Review them before connecting a Module.
- Facilitator only; no liability. viggoVet acts only as a platform and facilitator. Purchases of, and any relationship concerning, a Third-Party Module are between you and the developer. To the fullest extent permitted by law, viggoVet is not responsible or liable for Third-Party Modules or for how developers collect, use, store, secure, transfer, or disclose data, and provides no warranty for them. Your use of a Third-Party Module is at your own risk.
- We may remove Modules. We may suspend, restrict, or remove any Module or integration at any time, including for security, legal, or policy reasons, without liability.
- Developer use of the SDK/API/MCP. Developers must accept separate developer terms. Nothing here grants you the right to redistribute our SDK, API, or MCP except under those terms.
- Our own Modules. Modules built and provided by viggoVet are part of the Services and are covered by this Agreement, the Privacy Policy, and the DPA in the same way as the base platform.
12. Beta Services
We may offer Services or Modules on a closed or open beta basis (“Beta Services”) for evaluation. We determine their scope and duration and may change, suspend, or discontinue them at any time. Beta Services are provided “as is”, without warranty, support, or liability, and may not progress to general release.
13. Free Trials
If you register for a free trial, you receive temporary access to selected Services at no cost until the earlier of (i) the end of the trial period, (ii) the start of a paid subscription, or (iii) termination by us. Configurations or content created during a trial may be lost unless you upgrade or export your data before the trial ends. Trials are provided “as is”, without warranty, support, or liability.
14. Fees, Billing, Taxes, and Renewal
Paid Services are offered under subscription plans. Unless your order states otherwise, subscriptions automatically renew for successive terms, and you authorise us to charge your payment method the then-current renewal fee. To avoid renewal, cancel or downgrade at least 7 days before the term ends. Fees are non-refundable except where this Agreement or applicable law expressly provides. Pricing may change, but a change will not affect your current paid term. You are responsible for all applicable taxes (such as VAT, GST, or sales tax), which we will add to invoices where required, and we will provide tax-compliant documentation where the law allows.
15. Hosting Location and Data Residency
Your account is hosted in an encrypted environment mapped to your region at registration, consistent with the data-residency commitments in the Privacy Policy. Masking your location (for example to obtain a different regional allocation) is prohibited and may disrupt correct allocation. If your true location differs, we may migrate your account to a compliant environment or, where necessary, suspend or terminate the Services. Where we maintain an establishment in your region, we may store a local copy of data to meet legal obligations.
16. Published and User-Generated Content
You are solely responsible for content you publish or share through the Services and its consequences. Content you make public may be indexed and globally accessible; you must avoid publishing private data unintentionally. By publishing content, you confirm you own it or have the right to share it. We may block or remove content that is flagged as unlawful or rights-infringing, without prior notice, subject to our appeal process. Content you receive from others is provided “as is” and must not be reused without permission.
17. Sample Files and Demonstrations
Sample applications, files, or data are provided to demonstrate features only, contain fictitious data, and are provided without warranty as to accuracy, completeness, or fitness.
18. Intellectual Property and Trademarks
As between the parties, viggoVet and its licensors own all rights in the Services and all related software, content, and intellectual property, excluding your Service Data. “viggoVet”, the viggoVet logo, and product names are trademarks of the relevant viggoVet Group entity and may not be used without our prior written consent. If you give us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without restriction. All rights not expressly granted are reserved.
19. Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under this Agreement, and not disclose it except to personnel or contractors bound by confidentiality, or as required by law. This does not apply to information that is public, independently developed, or rightfully received from a third party.
20. Suspension and Termination
We may suspend or disable your account, in whole or in part, for suspected unlawful use, security risk, non-payment, prolonged inactivity, or as required by law or regulators. You may contest a suspension by contacting the contact form at viggo.vet/legal/contact within 30 days of notice. We may terminate this Agreement or access to the Services if you materially breach this Agreement and do not cure within a reasonable period, or on discontinuation of a Service. If you terminate because of our uncured material breach, you may receive a pro-rata refund of prepaid, unused fees. On termination, your right to use the Services ends, and we will make Service Data available for export for a limited period before deleting or anonymising it in line with the Privacy Policy retention terms.
21. Inactive Accounts
We may deactivate unpaid accounts that remain inactive for 120 consecutive days, after prior notice and an opportunity to export data, and then delete associated data. Each Service is treated separately. For organisation accounts, at least one active user keeps the account active.
22. Communications and Complaints
You may receive service alerts, administrative messages, and newsletters. You can opt out of newsletters but not essential service communications. If we receive a complaint about your account activity, we will forward it to your registered email. You must respond to the complainant within 10 days, copying viggoVet. If you do not respond, you authorise us to share your contact details with the complainant to facilitate resolution or legal proceedings.
23. Export Control and Sanctions
You must comply with all applicable export-control and economic-sanctions laws, including those of Switzerland, the European Union, the United States, and the United Arab Emirates. You represent that you are not located in, or ordinarily resident in, a sanctioned territory, and are not a restricted or denied party, and that you will not use the Services in violation of such laws or for any prohibited end use.
24. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. VIGGOVET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY AI OUTPUT WILL BE ACCURATE OR FIT FOR ANY PURPOSE. ANY MATERIAL OBTAINED THROUGH THE SERVICES IS USED AT YOUR OWN RISK. NO STATEMENT FROM VIGGOVET CREATES ANY WARRANTY NOT EXPRESSLY SET OUT HERE.
25. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VIGGOVET WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY. VIGGOVET’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO VIGGOVET FOR THE RELEVANT SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. FOR SERVICES USED FREE OF CHARGE, VIGGOVET’S TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, or for fraud. Where such law applies, the limitations above apply to the maximum extent permitted.
26. Indemnification
You will indemnify and hold harmless viggoVet and the viggoVet Group, and their directors, officers, employees, and agents, from any claims, losses, liabilities, damages, penalties, and reasonable expenses (including legal fees) arising from your use of the Services, your Service Data, your clinical or professional decisions, your use of Third-Party Modules, your violation of this Agreement, your infringement of third-party rights, or your breach of applicable law.
27. Governing Law and Dispute Resolution
Governing law. This Agreement and any dispute arising out of or in connection with it, including its existence, validity, or termination, are governed by the substantive laws of Switzerland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
Mandatory arbitration. Any dispute that is not resolved informally within 30 days of written notice will be finally settled by binding arbitration administered by the Swiss Arbitration Centre under the Swiss Rules of International Arbitration in force at the time. The seat of arbitration is Zug, Switzerland; the language is English; and the tribunal consists of one arbitrator unless the amount in dispute exceeds US$1,000,000, in which case three arbitrators. The award is final and binding and may be enforced in any court of competent jurisdiction.
Class-action and jury waiver. All disputes will be conducted on an individual basis only. You and viggoVet waive any right to bring or participate in any class, collective, consolidated, or representative action, and waive any right to a trial by jury. No arbitrator or court may consolidate more than one person’s claims or preside over any form of representative proceeding.
Exclusive forum and waiver of other forums. For any matter not subject to arbitration (including any action to compel arbitration or enforce an award), the courts of Zug, Switzerland have exclusive jurisdiction, and you irrevocably submit to that jurisdiction and waive any objection to it. You agree not to commence any action relating to this Agreement in any other forum; any such action may be stayed or dismissed, and the party bringing it will be responsible for the other party’s resulting costs and legal fees, to the extent permitted by law.
Injunctive relief carve-out. Either party may seek interim or injunctive relief to protect intellectual property or confidential information in any court of competent jurisdiction without waiving the arbitration agreement.
Consumers. If you are a consumer protected by mandatory law in your country of residence, the arbitration, class-action waiver, governing-law, and exclusive-forum provisions of this Section apply only to the extent permitted by that law, and you retain any right you have to bring proceedings in, or rely on the mandatory law of, your home jurisdiction.
28. Force Majeure
Neither party is liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labour disputes, epidemics, government action, failures of utilities or the internet, or attacks on infrastructure.
29. Changes to this Agreement
We may amend this Agreement with notice by email or service announcement. For material changes we will give at least 30 days’ notice. If you disagree with a material change, you may cancel within the notice period and receive a pro-rata refund of prepaid, unused fees. Continued use after the effective date constitutes acceptance of the revised Agreement, where permitted by law.
30. General Provisions
- Entire agreement. This Agreement, with the documents it incorporates, is the entire agreement between the parties on its subject and supersedes prior agreements on that subject.
- Severability. If any provision is unenforceable, it will be limited or severed to the minimum extent necessary and the rest remains in effect.
- Assignment. You may not assign this Agreement without our consent. We may assign it to a viggoVet Group entity or in connection with a merger, acquisition, or sale of assets.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Notices. We may give notice by email or through the Services; you give notice to the contact form at viggo.vet/legal/contact.
- No third-party beneficiaries; no agency. This Agreement creates no third-party beneficiary rights and no partnership, agency, or employment relationship.
- Survival. Provisions that by their nature should survive termination (including data, IP, disclaimers, liability, indemnity, and dispute-resolution terms) survive.
- Language. This Agreement is in English; if we provide a translation, the English version prevails to the extent permitted by law.
31. Contact
Questions about this Agreement: the contact form at viggo.vet/legal/contact. General support: the support centre at viggo.vet/support. The contracting entity for your region is identified in the Entities Document.
